We are happy to provide a progress update on our commitment and work towards establishing ITSCI as a stand-alone, not-for-profit Company Limited by Guarantee (CLG). The reasons and benefits for this transition were described in our 2024-2025 ITSCI improvement action plan, including adapting to the increasingly large scale of our work, as well as strengthening the ITSCI Programme governance structure and formal oversight through a new Board of Directors. Our action is also supported by recommendations from the 2018 and 2023 Alignment Assessments.
As ITSCI operates in complex environments, we are mindful of the critical importance to members and affected stakeholders of a smooth transition with no disruption to on-the-ground activities or the overall ITSCI Programme implementation. Over the past months, we have been undertaking the necessary work to thoroughly prepare for transition to the new ITSCI entity, including to maintain experienced staff and partners.
Significant progress has been achieved in preparing for the transition. Most notably, we have actively engaged with potential Directors for the future ITSCI Board and have identified four candidates from diverse backgrounds, including industry, private sector, NGO, and international organisations.
Additional progress has been made in human resources, financial management, and administration, among other areas, according to the internal transition management plan. Several matters related to the set-up of a legal entity are complex and require the support of a range of legal advisors, ensuring full compliance with applicable standards, laws, and regulations. We are continuing with thorough preparations, considerations and efforts in order to ensure the desired smooth transition is achieved.
While we strive to maintain a clear timetable for transition, this remains under continual review to ensure achievability. All steps are currently scheduled for completion by the end of Q1 2026, enabling the transition to the CLG in April 2026.
After 15 years of the ITSCI Programme, this important step will pave the way for ITSCI’s sustainable future, and the Programme’s strengthened ability to contribute to responsible sourcing in the Great Lakes Region and beyond.
